Sales Agreement
Parties and Related Definitions
This business partnership agreement has been made between the intermediary , the seller and the buyer as described below.
Intermediary: It refers to the owner of the website, Medbidding, that brings the seller and the buyer together.
Seller: It refers to legal or natural persons who are members of the website and/or who wish to publish/sell products on the website.
Buyer: It refers to legal or natural persons who are members of the website and/or wish to purchase products through the website.
Website: It refers to the website named Medbidding.com domain.
Service: It refers to the seller to put his goods on the Medbidding platform for a fee on the terms specified in the contract, and to the buyer to buy them on the terms specified in the contract.
Goods: Refer to the product or products that the seller wishes to be published and sold on the Medbidding platform.
Purpose and Scope of the Agreement
The intermediary creates an international marketplace for sellers and buyers by operating the Medbidding website.
Under the contract, the seller is a member of the Medbidding website managed by the intermediary and makes sales on this platform; the buyer purchases the goods offered through the website; the intermediary wants the seller and the buyer to benefit from the services of the platform in return for the commission paid by the seller.
Contract terms are written on a public page on the website.
Conditions of Being a Seller
If the seller accepts the terms of this contract, he first applies to the intermediary in order to publish his goods for sale on the website.
The goods requested to be published are sent to the address of the intermediary, with transportation costs paid by the seller.
If the goods in question are defective before they are shipped, if they are damaged during transportation, if any malfunction or defect is detected in the controls made within 3 business days after reaching the intermediary company, the intermediary does not accept any responsibility. In such a case, the intermediary sends the goods back to the seller’s address, transportation costs belong to the seller. If the goods are already defective before they are shipped, this must be reported to the agent in writing at the time of application. The intermediary cannot be held responsible for malfunctions and defects not notified in writing prior to shipment.
After the goods are delivered to the intermediary, they are checked by the intermediary within 3 business days and if they are suitable for sale, they are published on the website with the sales price determined by the seller and the intermediary.
By making an appointment, the seller can see and check his goods not sold, within working hours by coming to the address of the intermediary.
The seller can not sell or offer the agent to sell the goods prohibited by laws and regulations.
The advertisement can be posted until the sale of the product.
Conditions of Being a Buyer
If the buyer accepts the contract terms, he may send the price offer to the intermediary for the goods published for sale on the website or contact his agent to indicate that he wants to buy the goods at the price published on the website.
The bid submitted must be in USD currency. Sales can be made in USD denominated currency as well as in USD indexed EURO or TL denominated currencies.
The buyer can only send his offer to the agent.
In case the goods offered by the buyer are sold to someone else, the intermediary cannot be held responsible.
If there is damage or malfunction in the purchased product or if it occurs later, the intermediary cannot be held responsible. The seller is responsible for this.
The intermediary is not responsible for the transportation price of the goods purchased by the buyer.
Financial Issues, Import and Export
The seller will be able to benefit from the services provided that he fulfills the matters specified in the contract fully and properly, and will be entitled to the fee for the sales transactions he will make through the website.
All prices published on the Medbidding platform exclude the Value Added Tax valid in the Republic of Turkey.
The buyer can give lower or higher prices for the goods posted on the website.
The buyer can place lower or higher prices for goods posted on the website. These offers are evaluated by the intermediary and submitted to the approval of the seller. The sales process is completed at the price approved by the seller.
Once the buyer’s offer has been approved by the seller, it cannot be changed by the seller again.
The buyer makes the payment to the intermediary.
The intermediary will deduct a service fee of 20% + VAT over the price of the sold goods and make a payment to the seller 7 business days after the sale process is finished and the goods reach the buyer.
Transport Cost and Delivery
Delivery transactions are made at the address of the intermediary. If delivery is not possible at the address of the intermediary, the delivery methods determined by the agent will be applied. The intermediary decides this.
The transportation costs of product deliveries belong to the seller and the buyer and are paid in advance. The seller pays the shipping cost of the product sold. The buyer pays the shipping cost of the purchased product.
The intermediary cannot be held responsible for damages caused during transportation and delivery. Seller and buyer should follow the delivery processes.
If the intermediary or the seller gives up the sale for any reason, the transportation costs will be borne by the seller.
Right of Withdrawal and Return
The seller has the right to withdraw from the goods published on the website without any justification. The withdrawal request must be made to the agent in writing 15 business days in advance. Until the withdrawal date, the goods can remain on the air and the sale process can be carried out. In this case, the withdrawal request will not be valid.
The seller cannot prevent the sale of the goods published on the website to the buyer.
When the sales process is completed, the broker provides its services in full. After the sale process is completed, the intermediary cannot be held responsible for returns and withdrawal transactions or refund requests.
The broker has the right to change the details of the advertisement, to remove the advertisement completely or to give up the sale of the product.
Result
The seller and the buyer accept that they are personally responsible for all legal processes, material and moral sanctions imposed by laws and regulations, arising from their social or commercial relations and goods purchases and sales established within the scope of this service.
The broker, seller and buyer have accepted the terms of this contract in advance using the Medbidding platform.
In case of dispute, T.C. Izmir Courts are authorized.
